Advanced Computer Software Group plc acquires Avia Health Informatics plc

Advanced Computer Software Group plc (Advanced), a leading provider of software and IT services to the healthcare and commercial sectors, today announces the acquisition of Avia Health Informatics plc. Avia Health Informatics plc is the developer and provider of clinical decision support and referral facilitation software.

The purchase consists of the acquisition by Advanced of 100% of the share capital of Avia’s trading subsidiary, Plain Healthcare Limited (“Plain”), in consideration for the assignment and novation of the obligations of Avia under the £350,000 convertible loan note owed to Advanced following its investment in Avia in September 2012.

Acquisition highlights:

Strategic product acquisition for the Group’s Advanced Health and Care division, supporting Advanced’s penetration of the NHS

Plain’s Pathfinder referral facilitation and Odyssey clinical decision support systems are used by over 100 NHS customers and is already a long-term partner of Advanced Health & Care

The acquisition is expected to be earnings enhancing in its first year

The acquisition is subject to approval by Avia’s shareholders and is expected to complete on or around 16 October 2013.
