RTS Wind Group GMBH complete majority acquisition of North East-based offshore energy equipment manufacturer

RTS Wind Group GMBH, a global leader in the wind energy industry and part of Topp Holdings GmbH, has acquired a majority stake in Subsea Energy Solutions (SES), a global equipment manufacturer in the offshore energy industry based in the North East of England.

Topp Holdings GmbH is a family-owned, independent holding company based in Bremen, Germany and Freienbach, Switzerland with consolidated sales of 253m EUR and over 6000 staff.

The acquisition will kick start the next phase of growth within Subsea Energy Solutions who have seen rapid growth in their business due to the success of its patented SUB-FLEX™ product, now deemed as the best cable protection system for the floating wind industry.

As part of the transaction, Ryan Henderson, Les Nutter, Ken Ritson and Simon Wyles from Ventus Energy will bring insight and experience to SES, identifying synergies between both companies. Ventus Energy was itself acquired by Topp Holdings Group in March 2023.

Ryan Henderson, executive director at Ventus Energy said “Partnering with SES provides Ventus Energy with a great opportunity to expand our service offering in the offshore sector. Ventus Energy’s experience in delivering quality, high voltage solutions, coupled with SES’s reputation for subsea engineering excellence, provides both companies with a uniqueopportunity to offer bespoke solutions and exceptional value to the market.

“We are delighted to have solidified our long-standing relationship with SES and very much look forward to delivering on our overall strategic objectives together.”

Philip A.R Stanyon, company founder & commercial technical director said, “as we enter our twelfth year in business Subsea Energy Solutions has firmly established itself within the global offshore energy business. The opportunity for significant investment into the business will facilitate the transformation into a major global player in the cable protection industry to directly compete against the biggest names in the industry.”

Stanyon continued, “with the transition from fixed bottom to floating wind, SUB-FLEX™ has become the go-to solution for protecting cables within dynamic environments. This investment will now fully permit the business to capitalise upon the market opportunity”.

Christopher Topp, CEO at Topp Holdings, said, “we identified the incredible growth potential within Subsea Energy Solutions and could see the company is a perfect fit with our group companies. We are excited about working with Philip Stanyon and the team to support the massive potential as the industry continues to grow.”

Steve Pugh, strategic director at Subsea Energy Solutions, said, “this is one of the rare deals that is genuinely good for everyone. The investment brings additional stability and strength to SES helping us support existing staff, customers and stakeholders, but also provides an incredible investment opportunity to capitalise on the growth in the floating wind and offshore energy market.”
